1.    Parties

This Catering Contract is entered into between {{brand.name}} (“Caterer”) and {{client.name}} (“Client”) (together, “Parties”) and sets forth the agreement between the Parties relating to catering services to be provided by the Caterer for Client for the event identified in the proposal link under Section 2. of this Contract.


2.    Event Details & Menu

Please review your proposal to verify all of the event details, services, and menu selections are correct. Changes can be made to your proposal until two weeks prior to your event date of {{job.start | mediumDate}}.

3.    Coordination with Venue

The Caterer will need to have access to the Venue no later than two hours in advance of {{job.start | shortTime}}, and one hour after {{job.end | shortTime}} for cleanup. The Client will make all necessary arrangements, at Client’s expense, to get this arranged. 


The Caterer does not remove trash from the venue. If the venue requires trash to be removed, it must be coordinated with a trash removal company and paid at the Client’s expense.


4.    Payment Terms

In exchange for the services of Catering as specified in this Catering Contract, Client will pay to Caterer based on the number of guests attending the event, but in no event less than the Guest Count provided by Client to Caterer two weeks in advance of {{job.start | mediumDate}}. 


Payment will be made to the Caterer as follows:

5.    Responsibilities for Related Costs

Client is solely responsible for all costs and/or deposits relating to use of the Venue, and for obtaining any necessary permissions, authorizations, or other requirements of Caterer providing services at the Venue.


6.    Insurance and Indemnification 

Caterer has, or will obtain, general liability and liquor liability insurance relating to Caterer’s services at the Event. However, Client will indemnify and hold harmless Caterer for any damage, theft, or loss of Caterer’s property occurring at the event, caused by any of Client’s guests.


7.    Cancellation

If the Client needs to cancel the event, Client must provide written notice to the Caterer along with any required cancellation fees described in this Catering Contract, to effect cancellation.

 

The Client understands that upon entering into this Contract, Caterer is committing time and resources to this Event and thus cancellation would result in lost income and lost business opportunities in an amount hard to precisely calculate. Therefore, the following cancellation limitations will apply.

 

If the Client requests cancellation of this Contract 90 days or more before {{job.start | mediumDate}}, the Caterer shall be entitled to 25% percent of the Estimated Total Cost.

 

If the Client requests cancellation 45-89 days before {{job.start | mediumDate}}, Caterer shall be entitled to 30% percent of the Estimated Total Costs.

 

If the Client requests cancellation 31-44 days before {{job.start | mediumDate}}, Caterer shall be entitled to 50%.

 

After 30 days in advance of {{job.start | mediumDate}}, Caterer shall be entitled to 100 percent of the Estimated Total Cost.

 

The Client’s 50% payment will be credited against the cancellation fees owed. Any balance will be payable upon the notice of cancellation.

 

Notwithstanding the above cancellation provisions, if the Client requests cancellation of this contract 60-90 days before the Event due to a Federal, State, or local order related to COVID-19 that prevents the Event from occurring, the parties will work together in good faith to reschedule that date in 2022. If the parties cannot agree upon a date in 2022, the Vendor will be entitled to retain 15% of the deposit and will refund the remaining balance within 30 days of the parties agreeing that a mutually agreeable date in 2022 is not possible.


8.    Legal Compliance

The Caterer will work in compliance with all applicable local health department and ABC rules and regulations relating to food/beverage preparation and food/beverage service.


9.    Assignment

This Contract cannot be assigned by either Party without the other’s written consent, with the exception set forth in paragraph 10, below. 


10.    Limitation of Remedies

If Caterer cannot fulfill its obligations under this Contract for reasons outside of its control, Caterer may locate and retain a replacement catering company at no additional cost to Client, or refund Client’s money in full. Caterer will not be responsible for any additional damages or compensation under these circumstances.


11.    Resolution of Disputes

The Parties agree to not post any negative information about the other arising out of this Contract or Event on any online forum or website without providing advance written notice of the intended content thereof, and providing the other party with an opportunity to resolve any issues between the parties amicably.


12.    Jurisdiction and Venue

This contract will be interpreted according to the laws of the State of _______ and any legal action must be filed in the County of ________ in the State of _______.


13.    Entire Agreement

This agreement and the estimate within this document constitute the entire agreement between the Parties.
